3. Our role on your project

• Lighting design and specification are not electrical engineering, architecture, or certification of code compliance. Unless a signed agreement expressly says otherwise, Gridspec is not the engineer or architect of record, does not sign or seal drawings, and does not perform electrical installation.
• All designs, layouts, photometrics and specifications we provide must be reviewed and approved by your project’s licensed design professionals before use, and all installation must be performed by appropriately licensed contractors following applicable codes, permits and manufacturer instructions.
• Compliance with building, electrical, energy and accessibility codes is the responsibility of the project’s licensed professionals and the authority having jurisdiction. Any code or energy-compliance review we provide is advisory support for those professionals.
• The services, deliverables, warranties and responsibilities for a specific project are governed by the written agreement for that project. If that agreement conflicts with these Terms, the agreement controls.
• Product warranties are provided by the manufacturer. Where available, we pass through the manufacturer’s warranty, and we do not separately warrant third-party products unless we agree to in writing.

4. Trade partner program

Trade pricing, project registration, samples and other trade partner benefits are offered at our discretion, are subject to approval and to any separate trade agreement, and may be changed or discontinued at any time. Joining the program or registering a project does not create an exclusive relationship, partnership, joint venture or agency, and does not guarantee any price, availability or outcome.

5. Drawings and information you send us

• You confirm that you have the right to share any plans, drawings, photos and other materials you submit, and that sharing them does not violate anyone’s rights or any confidentiality obligation.
• You keep ownership of your materials. You give Gridspec a non-exclusive, royalty-free permission to use, copy and share them with our service providers and project partners only to evaluate your request, prepare plans and quotes, and deliver the services you ask for.
• We treat project drawings with care and use them only as described above and in our Privacy Policy. If your project requires a non-disclosure agreement, please ask us before sending drawings.
• Unless a signed agreement says otherwise, Gridspec keeps all rights in the designs, layouts, schedules and documents we create. You may use the deliverables we provide to you for the project they were prepared for.

6. Acceptable use

You agree not to: use the Site for any unlawful purpose; upload viruses or harmful code; attempt to gain unauthorized access to the Site or its systems; interfere with the Site’s operation; scrape, harvest or collect data from the Site by automated means; send spam or unsolicited messages through Site forms; impersonate any person or misrepresent your affiliation; or copy or reuse Site content for commercial purposes without our written permission.

7. Intellectual property and trademarks

The Site and its content, including text, graphics, photographs, logos and design, are owned by or licensed to Gridspec and are protected by intellectual property laws. You may view and print Site content for your own personal or internal business use. “Gridspec” and our logo are our trademarks.

Manufacturer names, logos and product names shown on the Site are trademarks of their respective owners and are used only to identify products we specify or source. Their appearance does not mean that any manufacturer sponsors or endorses Gridspec, or that Gridspec is an authorized dealer or representative, unless we expressly say so.

8. Third-party sites and independent partners

The Site may link to third-party websites and refer to independent partners, such as low-voltage systems integrators. These are independent businesses that we do not control, and we are not responsible for their content, products, services or practices. Any agreement you make with them is between you and them, unless Gridspec agrees otherwise in writing.

9. Blog and general information

Blog posts and other Site content are general information only. They are not engineering, legal, financial or other professional advice, and they may not reflect current codes, products or pricing. Please consult a qualified professional before relying on them for a specific project.

10. Disclaimer of warranties

THE SITE, ITS CONTENT, AND ANY FREE LIGHTING PLAN OR PRELIMINARY QUOTE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, GRIDSPEC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF HARMFUL COMPONENTS.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GRIDSPEC AND ITS OWNERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SITE, ITS CONTENT, OR ANY FREE LIGHTING PLAN OR PRELIMINARY QUOTE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

This section does not limit liability that cannot be limited under applicable law. Services and products provided under a separate signed agreement are governed by the liability terms of that agreement.

12. Indemnification

You agree to defend, indemnify and hold harmless Gridspec and its owners, employees and agents from any claims, losses, damages and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Site, materials you submit (including any claim that they infringe someone’s rights), or your violation of these Terms or applicable law.

13. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us and try in good faith to resolve the dispute informally for at least 30 days. Any dispute that is not resolved will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you and Gridspec consent to the jurisdiction of those courts. To the extent permitted by law, claims may be brought only on an individual basis and not as part of a class or representative action.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND GRIDSPEC EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS.

15. Suspension and changes

We may change, suspend or discontinue any part of the Site at any time, and may restrict access for anyone who violates these Terms. We may update these Terms from time to time by posting a new version with a new “Last updated” date. Changes apply from the date they are posted, and do not apply to any dispute that arose before that date.

16. General

These Terms and our Privacy Policy are the entire agreement between you and Gridspec about your use of the Site; a signed project or trade agreement governs the work it covers. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a business transfer. Headings are for convenience only.
